Purpose and scope

These general conditions govern the engineering services provided by Teledi AI (trading as Teledi): design, development, integration and operation of systems based on language models and of process automation.

They apply subsidiarily to the signed proposal for each project. Where the two documents conflict, the signed proposal prevails.

Proposals and scope

Each project is documented in a proposal setting out the scope, the phases, the estimated timeline, the acceptance criteria and the assumptions the estimate depends on. A proposal is valid for thirty calendar days from issue.

The latency figures, timelines and metrics published on this website come from specific configurations and engagements. The commitments enforceable on a project are those in its signed proposal, not those published for illustration.

Any change of scope after signature is agreed in writing, with its effect on timeline and price, before it is executed.

Client obligations

Delivery requires the client to provide, within the agreed timeframes, access to the systems in scope, the necessary documentation, and time from the people who actually know the process.

The client is responsible for the lawfulness of the data it contributes to the project and for holding a lawful basis for its processing. Delays caused by missing access, missing data or unavailable stakeholders adjust the schedule without penalty to either party.

Ownership of deliverables

Once the agreed price has been paid, the client acquires the exploitation rights over the project-specific code developed for it, together with the technical documentation and the evaluation sets built during the engagement.

Teledi retains ownership of its internal tooling, libraries, templates and pre-existing or generally applicable know-how, and may reuse them on other projects, in every case without including client confidential information or client data.

Third-party software licences and external provider services consumed by the system are contracted in the client's name and governed by their own terms.

Confidentiality and data protection

Both parties undertake to keep confidential the technical, commercial and business information they access during the engagement, for three years from its completion.

Where delivery involves processing personal data on the client's behalf, a processing agreement meeting article 28 GDPR is signed before work starts, setting out the categories of data, the instructions, the security measures and the rules on sub-processors.

Warranty and liability

Deliverables are warranted against defects for ninety calendar days from acceptance, with free correction of deviations from the agreed acceptance criteria. The warranty does not cover issues caused by third-party changes to the delivered system, or by changes in external provider APIs and services.

Systems built on language models are probabilistic and carry no guarantee of being right every time. That is why the design includes thresholds, human review points and an explicit abstention response, and why the client retains oversight of decisions with a significant effect on individuals.

Except in cases of wilful misconduct or gross negligence, total aggregate liability for a project is limited to the amount actually paid by the client in the twelve months preceding the event giving rise to the claim. Liability for loss of profit and for indirect damages is excluded.

Regulatory boundary

Systems are designed to support compliance with the applicable data protection and artificial intelligence obligations, through traceability logging, technical documentation and human oversight points.

Teledi is a technical implementer and does not provide legal advice. Classifying the system under Regulation (EU) 2024/1689, determining the role the client holds under it, and meeting the obligations that follow from that classification are the client's responsibility, on the client's own legal advice.

Termination

Either party may terminate on thirty calendar days' notice. On termination, work executed up to the effective date is payable, and the code, documentation and access credentials are handed over in the state they are in.

Governing law
